End User License Agreement

IXcelerate Accelerator Platform

1. License Grant

Customer receives a non-exclusive, non-transferable license to use IXcelerate ("Accelerator") in connection with the services being provided by ImagineX, with scope, term and restrictions defined below.

2. Scope of Use

License includes access for Customer's personnel including third party personnel who are engaged under confidentiality contractual terms with Customer, whereby the Accelerator configuration, such as prompts, agents, and artifacts, are treated as Customer Confidential Information by Customer employees and contracted third parties.

3. License Term

The license is valid while ImagineX is engaged by Customer in product development, engineering, or AI acceleration services.

4. Restrictions

Customer shall not:

Modify, reverse engineer, or create derivative works of the Accelerator.
Sublicense, sell, or distribute the Accelerator to third parties.
Remove or alter any proprietary notices.
Use the Accelerator to compete with ImagineX or develop competing tools.

5. Ownership

ImagineX retains all rights, title, and interest in the Accelerator.
ImagineX ownership includes the agentic prompts distributed with the Accelerator (“Accelerator System Prompts”) and any modifications to the Accelerator System Prompts made in the course of use of the Accelerator by Customer.
Customer owns the deliverables created using the Accelerator as specified in the IP provisions of the Agreement.
Customer owns Accelerator configuration performed during the Project including prompts created (excluding modifications to Accelerator System Prompts), agents configured, MCP servers configured, and other configurations as part of the use of the Accelerator.

6. Warranty Disclaimer

The Accelerator is provided "as is" without warranty of any kind. ImagineX disclaims all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. ImagineX does not warrant that the Accelerator will be error-free, uninterrupted, or meet Customer's requirements.
